Terms of service

These are the terms for using Membrero. I've written them the way I'd explain them across a table: plainly, with nothing hidden in the small print.
Who you're dealing with
Membrero is provided by Sven Breynaert (sole trader, enterprise number 0864.813.297, VAT number BE 0864.813.297) in Brussels, Belgium. You can reach me at hello@membrero.com.
What Membrero is
Membrero is software for schools and clubs: members, classes, payments, communication, and tools to help you grow, such as website and advertising features. These terms are for businesses and organisations, not for consumers.
Your account
Keep your logins secure. You are responsible for what happens under your account. You can add staff to it; they act on your behalf.
Your data
Your data is yours. Membrero processes your members' personal data on your behalf, under a data processing agreement. You can export your data whenever you like. When the agreement ends, your data is deleted after 60 days, unless the law requires it to be kept.
Advertising on Meta
If you use Membrero's advertising features:
- Your ads run in your own Meta ad account, on your own payment method, under your own Page. Membrero is never the funding source and never pays for your ads.
- You decide what goes live. Campaigns are created paused, and nothing runs until you activate it.
- You are responsible for what your ads say, and for following Meta's Advertising Standards and terms.
- Meta decides whether to approve ads or restrict accounts. Membrero can't overrule those decisions.
- Membrero is not liable for your ad spend or for the results of your ads.
Other services
Membrero relies on other companies for things like payments, email and Meta. Those services have their own terms, and I am not responsible for their outages or their decisions.
Fair use
Don't use Membrero for anything unlawful or to send spam, don't try to get at another school's data, and don't reverse-engineer or overload the service.
Fees
The price is the plan you choose, or what we agreed in writing. Prices exclude VAT. You are billed monthly or yearly, in advance. If a payment stays unpaid after a reminder, your account may be suspended.
Availability and changes
I work to keep Membrero available and your data safe, but I can't promise the service will never be interrupted. Features may change. If a change materially reduces what you pay for, you'll be told in advance and you can cancel.
Ending the agreement
You can cancel at the end of any billing period. I can end the agreement with 30 days' notice, or immediately in case of a serious breach of these terms.
Liability
My total liability is limited to the fees you paid in the 12 months before the claim. I am not liable for indirect loss, such as lost profit, or for lost data beyond what can be restored from backups. None of this limits liability for fraud, intentional misconduct, or anything else the law does not allow to be limited.
Changes to these terms
If these terms change, you'll be told by email at least 30 days before the new version applies.
Law and courts
These terms are governed by Belgian law. Any dispute goes to the courts of Brussels.
